Fllex.me Smartphone Subscription Terms & Conditions

Effective Date: 2025-09-01

These Terms & Conditions ("Terms") govern your access to and use of the Fllex.me platform and services, including the subscription and use of refurbished smartphones through our platform (the "Service"). By placing an order or creating an account, you agree to be bound by these Terms. Please read carefully.

1. Introduction and Acceptance

The use of the Platform (as defined in Section 2) and of a Smartphone Device (as defined in Section 2) are subject to the terms and conditions set forth in this document.

By accepting these Terms and Conditions either by (i) clicking a box (and/or accept button) indicating your acceptance, (ii) by making payment towards Smartphone Device subscription plan, or (iii) by placing an order for a Smartphone Device that makes a reference to these Terms and Conditions, you represent that you have read and that you agree to these Terms and Conditions.

If you do not agree to these Terms and Conditions, you must not place any order for any Smartphone Device nor should you create user account or profile with us.

2. Definitions

In these Terms and Conditions, the terms set out below shall have the following respective meanings:

Fllex - means Throwmenot FZ-LLC, a company incorporated in Dubai Internet City free zone, in5 Tech cluster ("we", "us", "our").

Smartphone Device - means any refurbished iPhone or smartphone including ancillary items and accessories (including but not limited to cables, packaging etc.), that is the object of a Device Subscription (as defined in Section 5).

Platform - means the Fllex website hosted on fllex.me or fllex.ae, including all features, functionalities and connected services. You can receive communication related to your orders, subscription payments and registration from domain names iget.mobi, getmobi.app, doyu.app, getmobitech.com, fllex.me, fllex.ae and other domains that we may specify in future.

Doyu Account - means the mandatory account created on doyu.app that serves as the unique identifier for each Fllex User and is linked to their subscription profile, subscribed smartphone device, and payment instructions.

Fllex User - has the meaning ascribed to it in Sections 3 and 4. Any reference to "you", "your" or other similar expressions is a reference to the Fllex User.

Customer Data - means any and all information you provide us with directly or indirectly in connection with your use of the Platform.

GetMobi - means device anti-theft and anti-misuse solution that is pre-installed on every Smartphone Device and must remain active on it throughout the entire subscription term.

3. Service, Service Provider and Eligibility

3.1. Nature of Service

We provide Smartphone subscription service to eligible individuals based on their background check done by Fllex and / or its affiliates. This means that any individual may apply for Smartphone Device rental, but Fllex reserves the right to approve or decline the application depending on Smartphone Devices availability and background check results. The service is provided with terms, duration, payment scheme and in a manner defined by Fllex. The Service is provided only in United Arab Emirates (UAE), paid UAE dirhams, and the individual willing to apply for the service must be (at the time of applying and throughout the entire period of using our service) a UAE resident having the valid documents and ID that prove this status. During the device subscription period the Fllex User may receive promotional offers and loyalty rewards programs access through the Smartphone Device, pre-installed applications (including Doyu app), email and messengers (hereinafter, Rewards Offers). The Rewards Offers, if accepted and used by Fllex User according to rules and terms provided by Fllex and its affiliates, may, at Fllex own discretion, generate bonus points that reduce subscription payment.

3.2 Service Provider

The Service is provided by Throwmenot FZ-LLC, incorporated in Dubai Internet City, in5 Tech. We operate under an e-commerce portal license and are not a bank, lender, or financial institution and do not provide loans or credit.

3.3 Eligibility and Authorization Requirements

You must be at least 18 years old UAE resident and have a valid payment method. By making an order, you authorize us to carry out identity verification, background checks, and shopping history analysis to confirm your eligibility for our subscription service. During the order creation, you will have to provide valid email address and phone number valid in UAE. The provided email will become an identifier as per Section 4, while phone number will act as reserve means of communication about your order and the service.

3.4 Background Check and Shopping History Verification

As part of our verification process, you will be required to:

Complete the Know-your-customer (KYC) process for identity verification. During KYC, we may redirect you to third-party KYC service provider which will process your Customer Data according to their policies, terms and conditions. All the Customer Data you provide, both to us directly or through third-party service provider, will be used to identify you and process your order, your subscription and link this data to the Smartphone Device.

Provide screenshots and transaction history from your shopping activities on platforms including but not limited to Amazon, AliExpress, Noon, or other e-commerce platforms as requested by us

Authorize us to analyze your shopping behavior and transaction patterns to assess your eligibility, if we require to do so for background check

Approval of your application is at our sole discretion. We may decline or cancel your subscription if information is incomplete, inaccurate, or unsatisfactory. We reserve the right to NOT disclose the background check details.

4. Account Creation and Doyu App

4.1 Mandatory Doyu Account Creation

To subscribe to any Smartphone Device through our Platform, you must create and maintain an active Doyu account (doyu.app). The account creation is mandatory and automatic upon making first payment towards the subscription.

4.2 Doyu Account as Unique Identifier

Your Doyu account serves as the only one and unique identifier for your Fllex subscription and is linked to:

Your user profile and application

The Smartphone Device that you opt to subscribe

Your subscription plan and payment schedule

Payment link and gateway that is pre-configured on Smartphone Device via Doyu.app

Rewards Offer available in Doyu.app

Any other services and user-related features that are available in Fllex or will appear in future

4.3 Login Requirements

You must login to our Platform using your Doyu account credentials. Access to your subscription services requires an active and verified Doyu account.

If granted access to the subscription for Smartphone Device, you must login on it with the same Doyu account credentials, ensuring the account is active, has valid email and is owned by you. In no situation or circumstances should you transfer Doyu account ownership to any third party.

5. Placing an Order and Getting Access to Device Subscription

5.1 Identity Verification Process

Before you can receive a Smartphone Device and start your subscription, we will verify your identity through:

KYC process completion

Background check via Doyu.app application form

Shopping history analysis and verification

Additional documentation as deemed necessary

5.2 Order Placement and Available Product

You may select only from available Smartphone Device models, taking into account their condition, color, memory and other relevant parameters. We do not guarantee any of the product parameters, nor do we provide on-demand purchase of specific position that you may request. Unless specified on specific product page, the available device is refurbished, meaning it has been pre-owned, activated and used. Placing an order constitutes a binding offer to subscribe to our smartphone service and obtain (under certain conditions) the right to use the Smartphone Device in accordance with these Terms.

5.3 Device Subscription Confirmation

Upon our written confirmation of your Order (done electronically via email and/or Whatsapp), a Device Subscription contract will be concluded between us and you ("Device Subscription" or "Subscription"). You will need to authorize the scheduled payments through our designated third-party payment system.

6. Subscription Terms and Payments

6.1 Subscription Structure

We offer a 1-year subscription plan only, consisting of:

One initial subscription fee (as presented on the website as Initial Fee or Initial Payment or Entry Payment) payable upfront

52 weekly payments following the Initial Payment, starting their annuity schedule from the day of Smartphone Device dispatch to your address (provided that you paid the Initial Fee and we confirmed you eligibility through the background check)

The resulting total number of payments per one Device Subscription per one user (customer) is 53 (fifty-three)

You can apply for monthly schedule instead, subject to our approval in written form. We reserve the right to decline monthly schedule at our own discretion

6.2 Payment Schedule

Initial Payment: as per product page on Fllex website, done during Device Subscription application (returnable in case of unsuccessful background check,

Weekly Payments: as displayed on the selected product page (chosen Smartphone Device with specified characteristics) representing 52 equal weekly subscription payments

Payment Method: Card payment or Automated direct debit from your account done through third-party service provider

6.3 Minimum Subscription Term

The minimum subscription term is 52 weeks (1 year). Should you opt for early termination that is less than 52 weeks, you will be charged fees subject to clause 6.4.

6.4 Early Termination Charges

If you opt to return the Smartphone Device before the 52-week term ends, you will be charged the Early Termination Fee equal to two Initial Payments (to avoid any doubt, this Early Termination Fee is separate and paid regardless of whether customer already paid the Initial Payment earlier). Additionally, you will be charged for the delivery costs (not less than AED 30) and device restoration expenses (including but not limited to data removal, battery replacement, scratches polishing, display glass replacement, any internal components replacement) according to third-party service price list.

6.5 Reduced Payments through Doyu Rewards

You may potentially reduce your weekly payments by:

Using the Doyu app on your subscribed Smartphone Device

Engaging with third-party offers and earning rewards through the Doyu platform

Completing brand-sponsored tasks and activities

Making on-time payments to improve your credibility score

All reward-based payment reductions are subject to third-party partner approvals and their respective terms and conditions. Please contact customercare@fllex.me or our WhatsApp support number to get more info on how our Rewards system works.

6.6. Device Purchase during or after Subscription Term

You may at any time opt to purchase Smartphone Device. By communicating your desire to purchase (provided that your subscription payments obligations are met as of date of your purchase request), you agree to get a special price offer from us, subject to device condition, model, market price and any costs incurred.

Once you complete full Subscription term, we may offer you a special price offer to purchase device, not less than one week subscription payment. Otherwise, you may either opt continue subscribing it on previous term or request a new Smartphone Device subject to new price and availability.

7. Device Ownership and Control

7.1 Device Ownership

The Smartphone Device remains our exclusive property throughout the entire subscription term. You receive only the right to use the Smartphone Device under this subscription agreement.

7.2 Device Lock Functionality

We employ proprietary device lock software to protect our assets. By subscribing to any Smartphone Device from us, you allow us to:

Remotely monitor device online status

Activate device lock features in case of our asset misuse of theft (including due to payment default or breach)

Push our rewards module, partner content, applications, and Fllex branding to the device

Activate "Lost Mode" and initiate police proceedings in cases of theft or fraud

We DO NOT collect and DO NOT have access to any of your personal data stored on Smartphone Device unless you directly and explicitly provide such information to our website, third-party payment gateways and any other information systems that you intentionally put your data to.

Please note that Smartphone Device, due to the Device Lock module installed, may have some of its usage functionalities (like backup and data transfer, VPN or corporate MDM (mobile device management) capabilities) limited or disabled. Moreover, the Smartphone Device will have traces of organization that controls and manages it.

7.3 Payment Failure and Device Lock

In case of failing to pay your weekly subscription amount:

You will receive a notice and have a 7-day grace period to settle outstanding amounts

After the grace period expires without payment, we reserve the right to activate device lock features, reducing Smartphone Device functionality to emergency calls, contacting our support and proceeding with your regular payment

Non-payment after notice and grace period will be treated as device misuse or theft (subject to our customer support decision based on your availability and ability to communicate and explain the reason of non-payment)

Customer’s financial hardship or bank / payment method problems are not a valid reason to restore device functionality

Full device functionality will be restored upon payment of all outstanding amounts

7.4 Theft and Fraud Protection

In cases of suspected theft, fraud, or misuse:

Full device lock will be immediately activated

"Lost Mode" will be engaged

Police proceedings will be initiated

You remain liable for all payments until the device is recovered or the full subscription amount is paid

7.5 Fully Purchased Smartphone Device and Device Lock

Once you purchase Smartphone Device you get a full ownership and will have to raise request with our Customer Support to suspend Device Lock functionality. You agree that once have fully purchased the Smartphone Device, it will still have traces and visual artifacts of Device Lock module (and you acknowledge that despite them present on the device, it is no longer controlled by us) unless you do complete factory reset on a purchased Smartphone Device, with all user data erased. Please be aware that it totally your responsibility to make any necessary data backup.

8. Device Care and Return

8.1 Care and Maintenance

You agree to use the Smartphone Device with reasonable care and in accordance with manufacturer guidelines. You are responsible for the device from the moment of delivery.

8.2 Return at Subscription End

At the completion of your 52-week subscription term, you must return the device in good condition (fair wear and tear excepted), unless you exercise the purchase option described in Sections 6.6 and 9

8.3 Data Removal

Before returning the device, you must:

Remove all password protection

Sign out of all personal accounts

Remove any content that may prevent use by subsequent users

Back up any personal data as we will delete all data upon device return without possibility of recovery

9. Purchase Option

9.1 End-of-Term Purchase Option

Upon completion of our standard 52-week subscription term, we will offer you a special price to purchase the Smartphone Device. This purchase option will be governed by a separate purchase agreement with terms and pricing to be communicated at that time.

10. Data Privacy and Usage

10.1 Data Collection and Processing

We collect and process your personal data for:

Identity verification and background checks

Shopping history analysis and verification

Payment processing and subscription management

Asset protection and security

Smartphone Device delivery and customer support

10.2 Data Sharing

We may share your data with:

Verification (KYC) service providers

Payment processors and financial institutions

Doyu.app for account integration and rewards processing

Law enforcement and debt collection agencies when required

Service providers necessary for our business operations

10.3 Device Usage Data

Through our device lock software, we may collect de-personified usage data to:

Monitor device performance and security

Deliver content and rewards opportunities

Prevent fraud and unauthorized use

Improve our services

11. Breach and Termination

11.1 Immediate Termination Rights

We may terminate your subscription immediately if you:

Fail to make payments after notice and grace period

Attempt to tamper with, unlock, or modify the device lock software

Transfer or attempt to sell the device to third parties

Use the device for illegal activities

Provide false or misleading information

Breach any material term of this agreement

11.2 Consequences of Termination

Upon termination:

All outstanding payments become immediately due

The device must be returned immediately in good condition

Device lock features may be activated to protect our asset

You forfeit any earned rewards or credits

12. Liability and Risk

12.1 Device Risk

You assume full risk of loss, theft, or damage to the Smartphone Device from the moment of delivery. In case of loss, theft, or damage beyond fair wear and tear, you remain liable for all subscription payments and potential replacement costs.

12.2 Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, or consequential losses

Our total liability will not exceed the total amounts you have paid during your subscription term

We are not liable for third-party app performance, rewards program changes, or Doyu platform issues

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of United Arab Emirates.

13.2 Dispute Resolution

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE.

14. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on our website and app. Continued use of the Service after updates constitutes acceptance of the revised Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with your subscription agreement and any additional agreements referenced herein, constitute the entire agreement between you and us.

15.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Assignment

We may assign these Terms and any rights hereunder to any third party. You may not assign your rights or obligations without our prior written consent.
